MangAI End User License Agreement
MangAI is copyright © 2011 – 2020 Andrew Mantel
By purchasing, downloading, installing, or using the Software, you express that you have read, understand, and agree to be bound by the terms and conditions of this MangAI End User License Agreement. If you do not accept these terms and conditions, then you are not granted a license and are not authorized to access, download, install, or use the Software.
TERMS & CONDITIONS
1. DEFINITIONS
“Agreement” (or “License”) – means all of the terms and conditions of this document, along with the expressed rights they provide.
“Licensor” – means Andrew Mantel, the Software’s developer.
“Licensee” (or “you”) – means the individual that accepted and agreed to be bound by the terms and conditions of this Agreement.
“Software” – means the MangAI software application and all of the code, documentation, and copyrighted material within.
“Updates” – means any downloaded, installed, used, or referenced code changes, modifications, bug fixes, or improvements offered, communicated, or delivered by the Licensor to the Licensee during the duration of this Agreement.
“Machine” – means a computer, including but not limited to: a personal computer, laptop, single board computer, rackmount computer, microcontroller, or embedded processor, on which the Software can be installed or used.
“Trial License” – means a free, one-time only issue per Licensee license to use the Software for a given period of time, as stated in Section 2. A Trial License may limit the functionality of the Software.
“Full License” – means a license to use the Software as stated in Section 3. After a Trial License has expired, a Full License is required for continued use of the Software.
2. TRIAL LICENSE
The following provisions apply to a Trial License.
2.1 Subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee using Trial License a limited and non-exclusive right during the term of this Agreement hereof to: (a) download the Software from the MangAI Website; (b) request a one-time, free, time limited Trial License; and (c) install the Software on a single personal Machine.
2.2 In connection with the Software, Licensee using Trial License shall not: (a) lease, license, use, make available, or distribute all or any part of the Software to any third party; (b) use or embed part or whole of the Software in other software; (c) decompile or reverse engineer the Software; (d) request or be issued more than one Trial License; and (e) use the Trial License beyond its intended scope, including but not limited to, using the trial beyond its intended valid time period or timespan.
3. FULL LICENSE
The following provisions apply to a Full License.
3.1 Subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee using Full License a limited and non-exclusive right during the term of this Agreement hereof to: (a) download the Software from the MangAI Website; (b) install the Software on an unlimited number of personal Machines in adherence with the regulations stated in Section 4; and (c) download and install any and all Updates to the Software.
3.2 In connection with the Software, Licensee using Full License shall not: (a) lease, license, use, make available, or distribute all or any part of the Software to any third party; (b) use or embed part or whole of the Software in other software; and (c) decompile or reverse engineer the Software.
4. GENERAL REGULATIONS
The following provisions apply to the Software, regardless of license type.
4.1 The Software may be used on the Machine(s) by the individual Licensee only. If use of the Machine(s) is to be shared with other individuals, they are not permitted to use the Software unless Licensee has purchased a Full License from the Licensor for those individuals separately.
4.2 The Licensee may not use the Software to provide work or product for a third party unless Licensee has purchased a Full License from the Licensor for those individuals separately.
4.3 The Licensee may not modify the Software code by making changes, additions or removing from the Software in any form. Any code obtained from the Software may not be used by the Licensee to distribute a derivative work as new software unbound by this license. The Software may not be decompiled or reverse engineered. Any and all code and algorithms of the Software as originally supplied by the Licensor remains subject to the terms of this Agreement.
4.4 The License is not transferable. You may not sell or give your issued Trial or Full License to a third party.
5. TERMINATION
This License is effective until terminated. Licensee may terminate this License at any time by destroying all copies of Software including any documentation. This License will terminate immediately without notice from the Licensor if Licensee fails to comply with any provision of this License. Upon termination, Licensee must destroy all copies of the Software.
6. DISCLAIMER OF WARRANTY AND LIMITATION OF LIABILITY
WHEN YOU USE THIS SOFTWARE YOU DO SO AT YOUR OWN RISK. THE AUTHOR IS NOT RESPONSIBLE FOR ANY LOSS OR DAMAGE RESULTING FROM THE USE OR MISUSE OF THIS SOFTWARE.
EXCEPT TO THE EXTENT REQUIRED BY APPLICABLE LAW, IN NO EVENT WILL LICENSOR BE LIABLE TO YOU ON ANY LEGAL THEORY FOR ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES ARISING OUT OF THIS LICENSE OR THE USE OF THE WORK, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
This License shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, as if performed wholly within the state and without giving effect to the principles of conflict of law. If any portion hereof is found to be void or unenforceable, the remaining provisions of this License shall remain in full force and effect. This License constitutes the entire License between the parties with respect to the use of the Software.
